Terms and Conditions

I’ve tried to keep my T&Cs as simple as possible, but if you have any queries on any of the below, please don’t hesitate to get in touch.

Before entering into work with me, you must confirm by email that you have read and agree to these terms and the project proposal provided detailing the services commissioned, project fee and deadline.

1. Definitions

1.1 “You”/“Your” refers to the individual or company that is purchasing services from Melissa D’Anzieri.

2. The Brief

The brief must be supplied by You and clearly detail Your project requirements.

You must provide any and all information you want Melissa D’Anzieri to include that isn’t currently on Your website or in any of our email correspondence. The only exception to this is research which is part of the copywriting process.

3. The Quote

The quote provided to You by Melissa D’Anzieri is free of charge and is valid for a period of one month (30 days) from the date issued.

. This quote includes:

            • A maximum of 2 drafts of the project outlined in the brief.

            • Discussion and correspondence regarding the project via email as necessary.

If at any time You alter the brief, Melissa D’Anzieri reserves the right to revise the quote. You will be informed of any additional charges in the first instance. Charges for additional work and edits outside of the amount quoted will be made on a case-by-case basis.

4. Quote Acceptance

You must have permission or the authority to commission the project.

Acceptance of the quote provided by email shall be deemed to include acceptance of these terms and conditions. The project proposal, together with these terms and conditions, will be the entire contract between You and Melissa D’Anzieri.

The contract will start on the date of your acceptance of the quote, and will continue until the project is complete or until terminated in writing by either party. To terminate the contract in writing before completion, seven (7) days’ notice will be required. If such notice is given at any time during the agreement, Your liability for remuneration will be as set out in point 6.

5. Payment Procedures   

Projects under £1,000 require 100% upfront cleared payment before commencement of work.

For all other projects, a 50% non-refundable deposit is required in advance. Melissa D’Anzieri reserves the right not to begin work on the project until the deposit is received in full. The remaining amount due for the project will then be invoiced at the half-way point. The first draft will be submitted to You once the outstanding payment has cleared.

Invoices are sent electronically and are payable within seven (7) days.

Melissa D’Anzieri accepts payment via BACS (bank wire transfer) or cheque.

Please note that You are responsible for any bank charges for sending an international payment. Melissa D’Anzieri is responsible for any bank charges for receiving an international payment.

6. Overdue payments

All invoices are due to be paid within seven (7) days. Any queries regarding the invoice and payment must be raised with Melissa D’Anzieri on receipt of the invoice.

If any invoice is not paid within thirty (30) days: 

      1. Melissa D’Anzieri understands and will exercise the statutory right to interest and compensation for debt recovery costs under the late payment legislation if Melissa D’Anzieri is not paid according to agreed credit terms.

The Late Payment of Commercial Debts Regulations 2013 states that debt up to £999.99 incurs a £40 charge, debt from £1000 – £9,999 incurs a £70 charge and debt at £10,000 or more incurs a £100 charge.

      1. Melissa D’Anzieri shall have the right to charge interest at 8% above the Bank of England base rate from the date the invoice becomes overdue.

      1. Melissa D’Anzieri may terminate this contract immediately by written notice

7. Right to Terminate

In the event of the agreement being terminated or postponed for any reason, You shall pay for any costs accrued by that stage.

8. Completion Dates

Completion dates are forecast by Melissa D’Anzieri on the basis of the project proposal. Any delay by You may result in deadlines being adjusted. Melissa D’Anzieri will not be responsible for any loss or damage suffered by You because of this reason.

Melissa D’Anzieri will do everything possible to complete the project by the agreed deadline. If in the highly unlikely event Melissa D’Anzieri is unable to meet the deadline, this will be communicated to You immediately. Melissa D’Anzieri will not be held liable for any loss or damage to You as a result of missing the deadline.

9. Approval of Work

On completion of a draft, You will have the opportunity to review it. Melissa D’Anzieri must be notified of any amendments or changes to the draft within seven (7) days. After seven days, it will be deemed that the draft has been approved.

10. Rejected Work

If You unreasonably reject the work or require unusually significant alterations, Melissa D’Anzieri reserves the right to invoice the balance due and, if appropriate, re-estimate the project. 

11. Liability

Melissa D’Anzieri shall not be liable to You for any loss or damage suffered as a result of any works carried out and approved for use.

It is Your responsibility to make a final check and approve the content of all work. Melissa D’Anzieri will not be held responsible for any errors in the above which were not corrected by You before publication.

12. Indemnity

You shall indemnify Melissa D’Anzieri against any claims for compensation, loss or damages, including those of a third party.

Melissa D’Anzieri makes every endeavour to produce original content. You shall hold Melissa D’Anzieri harmless in the event of any claims alleging that the copy provided in response to the brief infringes a patent, copyright or similar violation of a right of a third party.

13. Intellectual Property

Melissa D’Anzieri retains the intellectual property until the work has been paid for in full. You will not be able to use work prepared by Melissa D’Anzieri unless it has been paid for in full.

In the event that Melissa D’Anzieri is revising and updating existing content, You will ensure that Melissa D’Anzieri is fully authorised to do so by the copyright holder. You agree to hold Melissa D’Anzieri harmless in the event that any copyright claim is brought against Melissa D’Anzieri as a result of Your failure in this respect.

You agree to allow Melissa D’Anzieri to show or publish the work prepared as part of a portfolio only when the work has been completed and paid for in full. The only exception to this term will be where Melissa D’Anzieri has been specifically asked to sign a non-disclosure agreement.

14. Confidentiality Agreement

You and Melissa D’Anzieri agree to keep information exchanged during the course of the project confidential, and not to disclose it unless it has entered the public domain or any/all parties are required by a court or tribunal to do so.

15. Jurisdiction

This contract shall be governed by and construed in accordance with English law, and all parties agree to submit to the jurisdiction of the English courts.
